Code of Conduct

Preamble

Our Code of Conduct is intended as a guideline for the entire company and therefore applies equally to all of us. Specifically, it addresses senior management, executives, all employees, and suppliers. It reflects our commitment to uphold the values and principles stated herein and signals responsible behavior towards our business partners, customers, and employees.

Commitment of Management

BHS Spedition und Logistik GmbH is committed to acting economically, socially, and environmentally responsibly. The company strives to conduct its business competently and based on ethical and moral principles, competing fairly in all markets where it operates. This includes compliance with applicable laws and acceptance of antitrust prohibitions and restrictions on competition. We aim to avoid gaining undue advantages over customers, suppliers, or competitors.

BHS Spedition und Logistik GmbH commits to making the necessary efforts to adhere to the principles and values described in this Code of Conduct.

Standards of Cooperation

We expect all employees to act at the highest professional standards and in accordance with our company guidelines. Employees who violate existing policies, regulations, or rules in the course of their work or through their behavior will face disciplinary measures.

Open Communication with Employees

We do not conceal misconduct. If our employees report actual or suspected misconduct in good faith, we do not tolerate any attempts to intimidate or retaliate against these individuals. “In good faith” means that employees genuinely believe that their statements are true, regardless of whether their later version is confirmed.

Dialogue with Partners

All business information and trade secrets of our partners are treated with sensitivity and confidentiality. Required documents are prepared, stored properly, or destroyed after the end of cooperation, if applicable.

Customer Orientation

We act fairly and honestly towards our customers and business partners. We gather their wishes, needs, and expectations to ensure targeted implementation in products, services, or other processes.

Our highest goal is to build long-term and stable relationships based on trust with our customers and business partners.

Acceptance of Gifts and Donations

Gifts to Our Employees

Our employees do not solicit or accept personal benefits from customers or suppliers that could influence their professional conduct or create conflicts of interest.

Gifts offered by third parties may only be accepted if they are customary and considered a courtesy or token of appreciation (e.g., promotional items with company logos like pens or calendars).

Gifts exceeding the customary value must be reported to management. If this is not possible, such gifts must be refused.

Gifts from Our Employees

Gifts from our side should only be offered within a customary scope and reasonable value that do not impose any obligation or influence business decisions.

Donations

BHS Spedition und Logistik GmbH does not donate to political parties, individuals, or organizations whose goals conflict with our corporate philosophy or damage our reputation. Donations are always granted transparently.

Bribery and Corruption

We have zero tolerance for corruption and bribery, regardless of whether it harms our company assets or those of third parties. We implement controls to prevent bribery, theft, embezzlement, fraud, tax evasion, and money laundering.

Employees are prohibited from accepting or offering favors of any kind (cash, trips, gifts, etc.) linked to undue advantages (contract awards, project grants, etc.).

Our business partners are also encouraged to avoid conflicts of interest that pose corruption risks.

Data Protection

We handle all personal data of customers, business partners, and employees with utmost care. This includes names, addresses, phone numbers, birth dates, and health information. Employees are required to take all necessary measures to protect our IT systems from internal and external data theft, including proper password use and refraining from unauthorized downloads, especially of inappropriate material.

Environmental Protection

Environmental and climate protection are important to us. Employees are urged to use all natural resources (energy, water, space) in our company responsibly. Responsible handling in the production and distribution of our products and services is expected.

We comply with all laws and regulations regarding employee health and safety. Leadership takes measures to ensure a healthy and hazard-free work environment.

Compliance with Applicable Laws

We require our leaders to familiarize themselves with and strictly comply with laws, regulations, and rules relevant to their areas of responsibility. Leaders bear particular responsibility for fulfilling this Code of Conduct.

Our business partners and their suppliers must also comply with applicable laws, especially concerning import/export controls, trade, technologies, payments, and capital flow.

Violations of economic embargoes, trade controls, or financing terrorism are strictly prohibited by our partners.

Fair Competition

We are committed to fair competition and abide by all related laws and regulations. We refrain from agreements on prices, conditions, or strategies with competitors, suppliers, or others that hinder fair competition. We do not participate in anti-competitive boycotts.

Non-Discrimination

Any form of discrimination is strictly prohibited, regardless of nationality, ethnicity, age, gender, sexual orientation, marital status, pregnancy, disability, religion, or belief. Promotions and hiring are always free from discrimination.

We emphasize careful and responsible handling of our products, tools, and company intellectual property.
